These Terms and Conditions ("Terms") govern your access to and use of the MPH.com Dealer Dashboard and the services provided by MPH.com ("MPH" or "we"). By accessing or using our services, you agree to comply with these Terms. If you do not agree to these Terms, please do not use our services.
1. Eligibility
To use MPH.com and the Dealer Dashboard, you must be a registered dealer and have a valid account with us. You must provide accurate and complete information during the registration process.
2. Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you believe your account has been compromised, you must notify us immediately.
3. Services Provided
MPH.com provides dealers with access to a variety of features through the Dealer Dashboard, including but not limited to:
 • Inventory management
 • Sales tracking and reporting
 • Marketing tools
 • Customer relationship management
 • Analytics and performance metrics
4. Dealer Guidelines for Vehicle Listings
We have established the following guidelines for vehicle advertising and pricing on MPH's website, mobile app, and other online products and services (collectively referred to as the “MPH Sites”).
If advertisements or prices do not adhere to these guidelines or if vehicles are mispriced (for example, a $3,000 asking price for a vehicle with a $30,000 MSRP), MPH reserves the right to take appropriate action, at any time, in accordance with our Terms of Service. Such actions may include, but are not limited to, removing vehicle listings, hiding prices, or removing badges or pricing comparisons (e.g., Good/Great Price). MPH will notify dealers and allow them the opportunity to correct advertisements or pricing, which will then be displayed on the MPH Sites.
5. Vehicle Advertisements
 • Only a single vehicle can be advertised per listing or vehicle detail page.
 • Vehicles must be accurately identified by year, make, model, trim, equipment, VIN, and stock number. Mileage must also be included and accurate for each vehicle.
 • Dealers must have possession of the vehicle and the right to sell and immediately transfer the title.
 • Vehicles must be removed from the inventory feed immediately after they are sold, and no later than 24 hours after the sale.
6. Advertised Prices
 • Prices must be available to most shoppers without qualifications (e.g., military or college grad rebates should not be reflected in the asking price).
 • No financing of any amount or condition should be required to receive the advertised price.
 • The price must be available regardless of the payment method and cannot require a trade-in, minimum down payment, or trade-in equity to qualify.
 • Prices may be reduced only by rebates, incentives, or offers that are available to most buyers without conditions or eligibility requirements.
 • Tax, title, and license/registration fees may be included in disclosures. All other fees must either be included in the price or displayed clearly in accordance with applicable laws.
7. Audits and Compliance
MPH may audit the dealer’s site and use third-party sites, pricing data, complaints, and other information to inform decisions and actions related to dealer advertisements and pricing. In addition to these guidelines, dealers must comply with all applicable federal, state, and local laws, regulations, rules, and ordinances, including those pertaining to false or deceptive advertising, motor vehicle advertising, and automotive finance.
8. Indemnification
You agree to indemnify and hold MPH, its affiliates, and their respective directors, officers, employees, and agents harmless from any claims, losses, or damages, including legal fees, arising out of your use of the services, your violation of these Terms, or any infringement of any third-party rights.
9. Limitation of Liability
MPH shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the services, even if we have been advised of the possibility of such damages. Your sole remedy for dissatisfaction with our services is to discontinue using them.
10. Termination
We reserve the right to suspend or terminate your access to MPH.com and the Dealer Dashboard at any time, with or without cause or prior notice, including if we believe you have violated these Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Delaware, USA without regard to its conflict of laws principles.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on our website. Your continued use of the services after changes are made constitutes your acceptance of the new Terms.
